These Terms and Conditions (“Terms”) govern your use of the website https://maiestas.ca and the software platform at https://portal.maiestas.ca (the “Services”) operated by Maiestas Intelligence (“we,” “us,” or “our”).

By accessing or using our Services, you agree to these Terms.

1. Services

We provide:

  • AI agents and automations

  • CRM and marketing systems

  • Messaging, voice, and workflow tools

  • Software access and consulting services

Services may include:

  • One-time setup fees

  • Monthly or recurring subscriptions

  • Usage-based charges (calls, messages, AI, etc.)

2. No Guarantees

You acknowledge and agree that:

  • We do not guarantee business results, revenue, leads, or performance

  • AI and automation outputs are probabilistic and not guaranteed to be correct

  • You are solely responsible for how you use the Services

3. Payments, Subscriptions & Billing

  • All fees are due in advance unless otherwise stated

  • Subscription fees recur automatically until cancelled

  • Setup fees are non-refundable once work begins

  • Usage fees (calls, SMS, AI, etc.) are billed based on consumption

  • Failure to pay may result in suspension or termination of service

4. Refund Policy

Unless explicitly stated in writing:

  • All setup fees are non-refundable

  • Subscription fees are non-refundable once billed

  • Usage fees are non-refundable

5. Acceptable Use

You agree not to use the Services for:

  • Spam, scams, or illegal marketing

  • Harassment, abuse, or deceptive practices

  • Violating privacy, telecom, or marketing laws

  • Any illegal or unethical activity

We reserve the right to suspend or terminate accounts that violate these rules.

6. Client Responsibility

You are responsible for:

  • All activity under your account

  • All content, messages, and campaigns you send

  • Compliance with all applicable laws (CASL, TCPA, GDPR, etc. where applicable)

  • Maintaining proper consent from your contacts

7. Data & AI Disclaimer

  • AI outputs may be inaccurate or incomplete

  • You must review and verify all outputs before using them

  • We are not responsible for decisions you make based on AI or automation outputs

8. Limitation of Liability

To the maximum extent permitted by law:

Maiestas Intelligence shall not be liable for:

  • Lost profits, lost data, or business interruption

  • Indirect, incidental, or consequential damages

  • Any damages exceeding the amount paid to us in the last 3 months

9. Termination

We may suspend or terminate your access:

  • For non-payment

  • For violations of these Terms

  • At our discretion if your usage creates legal or operational risk

You may cancel your subscription according to your plan’s terms.

10. Intellectual Property

  • The platform, software, systems, and materials belong to Maiestas Intelligence

  • You receive a limited, non-transferable right to use the Services

  • You may not resell, copy, or reverse engineer the platform

11. Changes to Terms

We may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of Canada, without regard to conflict of law principles.
